Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of KoinKount’s websites, apps, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility (18+)

You must be at least 18 years old and able to form a binding contract to use the Service. By registering, you represent that you meet this requirement. The Service is not directed to children under 13.

3. What KoinKount is (and is not)

KoinKount is a coordination and bookkeeping tool for shared expenses, balances, and settlement status. You and your friends decide how to move money outside the app (cash, bank transfer, pay apps, etc.).

• We are not a bank, credit union, money transmitter, payment processor, escrow agent, or debt collector.
• We do not initiate, receive, hold, or guarantee transfers of funds between users.
• Optional labels such as “Venmo,” “PayPal,” or “Cash App” are bookkeeping tags only — they do not open pay apps or move money.
• Balances, suggested settlements, and confirmations are tools for coordination. They are not legal proof of debt, a court judgment, or a warranty that anyone paid.
• Display exchange rates are approximate and for convenience only — not bank settlement rates or financial advice.

4. Settlements & disputes between users

When you request or confirm a settlement, you are making a representation to other users about what happened outside the Service. We do not verify real-world payments, receipts, or proof URLs. We are not a party to your agreements with friends and are not responsible for unpaid amounts, mistaken entries, or disputes. Resolve disagreements directly with the other person(s). We may, but are not obligated to, suspend accounts for fraud or abuse.

5. Your account & acceptable use

• Provide accurate registration information and keep credentials secure.
• You are responsible for activity under your account and data you enter.
• Do not use the Service for fraud, harassment, illegal activity, scraping, reverse engineering (except where law allows), or to interfere with other users or our systems.
• Do not upload unlawful, infringing, or harmful content (including receipt images or proof URLs).

We may suspend or terminate access for violation of these Terms or to protect the Service and users.

6. Your content

You retain ownership of content you submit (expenses, notes, images, etc.). You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and process that content solely to operate and improve the Service. You represent you have the rights to submit it.

7. Communications

You agree we may send transactional emails and, if you enable them, push notifications related to the Service (e.g. settlement requests, reminders, friend requests, security). These are part of providing the Service, not marketing. Marketing messages, if ever offered, will require separate consent where required by law.

8. Premium / paid features (future)

If we offer paid subscriptions (e.g. via Stripe), additional billing terms will apply. Paid features will not convert KoinKount into a settlement payment rail. Core split → balance → settle status remains available on the free tier as described in product communications.

9. Intellectual property

The Service, branding, and software are owned by KoinKount and its licensors. You may not copy, modify, or redistribute our materials except as allowed by these Terms or written permission.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT BALANCES, FX CONVERSIONS, OR SETTLEMENT STATUS ARE ERROR-FREE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOINKOUNT AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW (INCLUDING CERTAIN CONSUMER RIGHTS).

We are not liable for amounts users claim to owe each other, failed off-app payments, or disputes among users.

12. Indemnity

You will defend and indemnify KoinKount and its operators against claims arising from your content, your misuse of the Service, your off-app payment disputes, or your violation of these Terms or law — except to the extent caused by our willful misconduct.

13. Changes & termination

We may modify the Service or these Terms. We will post updates with a new effective date. Continued use after changes means you accept them. You may stop using the Service at any time. We may discontinue the Service with reasonable notice when practicable.

14. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer law in your place of residence provides otherwise. Courts in Delaware (or the federal courts sitting there) shall have exclusive jurisdiction, except that we may seek injunctive relief anywhere, and consumers may have non-waivable rights to bring claims in their home courts.

Governing law/venue will be confirmed when the operating entity is formally organized; Delaware is used as the provisional default for US startups.
